GENERAL TERMS AND CONDITIONS OF SALE \u2013 PROFESSIONAL SERVICES<\/h2>\n

These General Terms and Conditions of Sale (hereinafter referred to as the \"Professional Terms and Conditions\") govern the contractual relationship between ProPixel and its clients in the context of professional services performed on a quote basis.<\/p>\n

They include visual communication projects, design, manufacturing, printing, signs, signage, window dressing, covering, commercial decoration, graphic design, digital services, custom manufacturing as well as installation and fitting services.<\/p>\n

Products ordered directly through the ProPixel online store are subject to the General Terms and Conditions of Sale of the online store<\/strong> and not to these Professional General Terms and Conditions, unless otherwise expressly agreed between the parties.<\/p>\n

Hereinafter referred to as \"ProPixel\".<\/p>\n

2. SCOPE OF APPLICATION<\/h2>\n

These Professional Terms and Conditions apply to services and projects carried out by ProPixel on the basis of a quote accepted by the Client.<\/p>\n

They may include, in particular:<\/p>\n

    \n
  • the design and manufacture of signs;<\/li>\n
  • illuminated and non-illuminated signs;<\/li>\n
  • letters and lettering;<\/li>\n
  • signage;<\/li>\n
  • the panels and plaques;<\/li>\n
  • digital and large format printing;<\/li>\n
  • vinyl printing;<\/li>\n
  • window dressing;<\/li>\n
  • vehicle wrapping and styling;<\/li>\n
  • interior and commercial decoration;<\/li>\n
  • engraving and cutting;<\/li>\n
  • graphic design;<\/li>\n
  • the creation of logos and visual identities;<\/li>\n
  • photography;<\/li>\n
  • the production of video and advertising content;<\/li>\n
  • the creation and development of websites;<\/li>\n
  • the manufacture of advertising materials;<\/li>\n
  • custom manufacturing;<\/li>\n
  • the delivery;<\/li>\n
  • installation and setup;<\/li>\n
  • as well as any other service offered by ProPixel within the framework of a professional project.<\/li>\n<\/ul>\n

    These General Terms and Conditions constitute the general framework applicable to the services, subject to the specific conditions contained in the accepted quote.<\/p>\n

    \n

    3. PROFESSIONAL CLIENTS<\/h2>\n

    These General Terms and Conditions are primarily intended for companies, independent professionals, associations, businesses, institutions and other professionals using ProPixel in the course of their business.<\/p>\n

    When the Client acts in a professional capacity, he acknowledges that the project is carried out within the scope of his professional activity.<\/p>\n

    Where mandatory law applicable to a particular situation provides protections which the Client cannot waive, those provisions remain applicable.<\/p>\n

    \n

    4. MEETING AND PROJECT REVIEW<\/h2>\n

    The Client can visit ProPixel's premises to present their project, discuss their needs, examine the different technical solutions and receive advice.<\/p>\n

    Prior exchanges, meetings, visits and discussions do not necessarily constitute an order.<\/p>\n

    When a preliminary study is required, ProPixel can analyze, among other things:<\/p>\n

      \n
    • the dimensions;<\/li>\n
    • the existing support;<\/li>\n
    • technical constraints;<\/li>\n
    • the Client's needs;<\/li>\n
    • the materials;<\/li>\n
    • the installation possibilities;<\/li>\n
    • electrical constraints;<\/li>\n
    • access constraints;<\/li>\n
    • administrative or urban planning constraints.<\/li>\n<\/ul>\n

      When this study is billed, the Client is informed before it begins.<\/p>\n

      \n

      5. QUOTE<\/h2>\n

      Professional projects are generally subject to a quote established by ProPixel.<\/p>\n

      The quote may specify, in particular:<\/p>\n

        \n
      • the nature of the services;<\/li>\n
      • supplies and materials;<\/li>\n
      • the dimensions;<\/li>\n
      • the quantities;<\/li>\n
      • technical specifications;<\/li>\n
      • the finishing touches;<\/li>\n
      • graphic design services;<\/li>\n
      • manufacturing;<\/li>\n
      • the delivery;<\/li>\n
      • the installation or laying;<\/li>\n
      • the price;<\/li>\n
      • the applicable VAT;<\/li>\n
      • the payment terms;<\/li>\n
      • the possible deposit;<\/li>\n
      • the time frame or the estimated time frame;<\/li>\n
      • the validity period of the quote;<\/li>\n
      • any special conditions.<\/li>\n<\/ul>\n

        The quote is based on the information available to ProPixel at the time of its preparation.<\/p>\n

        When certain technical information cannot be determined precisely before the intervention, the quote may provide for an adjustment of the price after on-site assessment, subject to the Client's agreement when this adjustment results in a substantial change in price.<\/p>\n

        \n

        6. QUOTE VALIDITY<\/h2>\n

        Unless otherwise stated, quotes are valid for 30 calendar days<\/strong> from their date of issue.<\/p>\n

        After this period, ProPixel may modify or update the quote, particularly when the price of materials, supplies, third-party services or the technical conditions of the project have changed.<\/p>\n

        A quote not accepted within its validity period no longer constitutes a firm offer from ProPixel.<\/p>\n

        \n

        7. ACCEPTANCE OF QUOTE<\/h2>\n

        The contract is concluded when the Client accepts the quote according to the terms and conditions set out therein.<\/p>\n

        Acceptance may result in the following, among other things:<\/p>\n

          \n
        • with a handwritten signature;<\/li>\n
        • of an electronic signature;<\/li>\n
        • of an electronic validation;<\/li>\n
        • an email confirming the agreement;<\/li>\n
        • of the payment of the deposit when this is stipulated as a condition of launch;<\/li>\n
        • or any other means that clearly establishes the Client's agreement.<\/li>\n<\/ul>\n

          ProPixel may refuse to start work until the prerequisites stipulated in the quote are met.<\/p>\n

          \n

          8. CONTENT OF THE ACCEPTED QUOTE<\/h2>\n

          The accepted quote constitutes the reference document for determining the services agreed upon between the parties.<\/p>\n

          Only the services, supplies, quantities and options expressly provided for in the quote are included in the agreed price.<\/p>\n

          Any additional services requested subsequently may be subject to additional billing.<\/p>\n

          \n

          9. PROJECT MODIFICATION<\/h2>\n

          The Client may request modifications before or during the execution of the project.<\/p>\n

          When these changes affect the price, materials, quantities, deadlines or manufacturing method, ProPixel can provide a supplementary quote or a new offer.<\/p>\n

          Significant modifications are only carried out after agreement from the Client when their additional cost must be borne by the latter.<\/p>\n

          The consequences of a change may include:<\/p>\n

            \n
          • additional design fees;<\/li>\n
          • a new model;<\/li>\n
          • the purchase of new materials;<\/li>\n
          • additional production costs;<\/li>\n
          • subcontracting costs;<\/li>\n
          • a new manufacturing lead time;<\/li>\n
          • a new installation deadline.<\/li>\n<\/ul>\n
            \n

            10. VALIDATION OF MODELS<\/h2>\n

            When ProPixel provides a mockup, visualization or graphic design for validation, the Client must carefully check its content.<\/p>\n

            The Client must, in particular, verify:<\/p>\n

              \n
            • the texts;<\/li>\n
            • spelling;<\/li>\n
            • the names;<\/li>\n
            • the coordinates;<\/li>\n
            • telephone numbers;<\/li>\n
            • the addresses;<\/li>\n
            • the dimensions;<\/li>\n
            • the colours;<\/li>\n
            • the logos;<\/li>\n
            • the photographs;<\/li>\n
            • graphic elements;<\/li>\n
            • technical information.<\/li>\n<\/ul>\n

              The Client's validation of the mock-up constitutes their agreement to the elements presented for manufacturing.<\/p>\n

              When an error in a validated model results from information provided or validated by the Client, the costs necessary for a modification or remanufacturing may be charged.<\/p>\n

              This provision does not apply when an error is attributable to ProPixel.<\/p>\n

              \n

              11. CUSTOM MANUFACTURING<\/h2>\n

              Products manufactured as part of a project are produced in accordance with the specifications provided in the accepted quote and, where applicable, the approved model.<\/p>\n

              The dimensions, materials, colours, finishes and technical characteristics are those agreed upon between the parties.<\/p>\n

              Slight variations may exist due to the materials and manufacturing processes used.<\/p>\n

              The following may vary within the normal limits of the process:<\/p>\n

                \n
              • the nuances of color;<\/li>\n
              • the textures;<\/li>\n
              • reflections;<\/li>\n
              • dimensional tolerances;<\/li>\n
              • the natural characteristics of certain materials;<\/li>\n
              • the difference between screen and physical product rendering.<\/li>\n<\/ul>\n
                \n

                12. MATERIALS AND SUPPLIES<\/h2>\n

                The materials used are those specified in the quote or, where no specific material is required, those that ProPixel deems suitable for the execution of the project.<\/p>\n

                In the event that a planned material is unavailable, ProPixel can offer an alternative solution with comparable characteristics.<\/p>\n

                When a modification results in a significant price difference, it is subject to the Client's agreement before implementation.<\/p>\n

                \n

                13. SIGNS AND SIGNAGE<\/h2>\n

                Signs and signage elements can be produced using various techniques and materials, including:<\/p>\n

                  \n
                • aluminium;<\/li>\n
                • PVC;<\/li>\n
                • plexiglass;<\/li>\n
                • Dibond;<\/li>\n
                • composite materials;<\/li>\n
                • cut-out letters;<\/li>\n
                • box letters;<\/li>\n
                • LED lighting;<\/li>\n
                • indirect lighting;<\/li>\n
                • or any other technical solution suitable for the project.<\/li>\n<\/ul>\n

                  The exact specifications of the sign are determined in the quote.<\/p>\n

                  \n

                  14. ADMINISTRATIVE AND URBAN PLANNING AUTHORIZATIONS<\/h2>\n

                  The Client is responsible for obtaining the administrative, urban planning, co-ownership or other authorizations necessary for the installation of the project, except when ProPixel has expressly agreed to carry out certain procedures in the quote.<\/p>\n

                  When ProPixel takes on an administrative task, this service must be expressly indicated in the quote.<\/p>\n

                  Taxes, fees, administrative charges and third-party fees are included only when expressly mentioned.<\/p>\n

                  The Client must provide ProPixel with all the information necessary for these procedures.<\/p>\n

                  \n

                  15. OWNERSHIP AND AUTHORIZATION TO INSTALL THE MEDIA<\/h2>\n

                  The Client guarantees that they have the necessary rights to authorize the installation of a sign, panel, vinyl or any other element on the building, vehicle, shop window or the support concerned.<\/p>\n

                  When the medium belongs to a third party, the Client must obtain the necessary authorization before work begins.<\/p>\n

                  ProPixel cannot be held responsible for a dispute between the Client and the owner of the media when the Client has not obtained the necessary permissions.<\/p>\n

                  \n

                  16. INSTALLATION AND FITTING<\/h2>\n

                  When installation is included in the quote, ProPixel carries out the installation in accordance with the agreed specifications.<\/p>\n

                  The Client must guarantee normal, sufficient and secure access to the intervention site.<\/p>\n

                  The Client must report any known information concerning the intervention beforehand:<\/p>\n

                    \n
                  • the cables;<\/li>\n
                  • the pipes;<\/li>\n
                  • the pipes;<\/li>\n
                  • electrical installations;<\/li>\n
                  • specific structures;<\/li>\n
                  • fragile materials;<\/li>\n
                  • access restrictions;<\/li>\n
                  • the constraints of co-ownership;<\/li>\n
                  • or any other characteristic that may affect the installation.<\/li>\n<\/ul>\n
                    \n

                    17. EXISTING SUBSTRATES AND CONDITIONS<\/h2>\n

                    ProPixel carries out the work based on the information available and the apparent condition of the support at the time of the study.<\/p>\n

                    Hidden defects or technical characteristics not visible before intervention may require adaptation of the project.<\/p>\n

                    When these elements result in additional work, this may be subject to a supplementary quote.<\/p>\n

                    \n

                    18. ELECTRICAL CONNECTIONS<\/h2>\n

                    When the project includes lighting or electrical equipment, the quote specifies the electrical work included.<\/p>\n

                    Unless otherwise stated, work upstream of the planned connection point for the installation is not included.<\/p>\n

                    When the existing electrical installation is insufficient, inaccessible or non-compliant, the necessary work may be subject to an additional service.<\/p>\n

                    \n

                    19. VEHICLE WRAPS AND COVERINGS<\/h2>\n

                    The Client must provide a vehicle in a condition that allows the service to be performed.<\/p>\n

                    Pre-existing defects in paintwork, bodywork, varnish, repair or substrate treatment may influence the result of the application or subsequent removal of the film.<\/p>\n

                    The dismantling of components, bodywork repair, removal of old covering or any special preparation are only included when expressly provided for in the quote.<\/p>\n

                    \n

                    20. WINDOW DISPLAYS<\/h2>\n

                    The glazing or support intended to receive vinyl or cladding must be accessible and in a condition allowing the service to be carried out.<\/p>\n

                    Pre-existing defects in the glazing, paint, substrate, or previous decorations can influence the result.<\/p>\n

                    Special preparation of the substrate may be subject to an additional service when it is not included in the quote.<\/p>\n

                    \n

                    21. GRAPHIC DESIGN<\/h2>\n

                    When ProPixel carries out a graphic design, the deliverables expected are those indicated in the quote.<\/p>\n

                    Unless otherwise stated, source files and working files are not automatically included in the price.<\/p>\n

                    The delivery of source files may be the subject of a separate service or transfer.<\/p>\n

                    \n

                    22. PHOTOGRAPHY, VIDEO AND ADVERTISING CONTENT<\/h2>\n

                    Photography, video and content creation services are carried out according to the specifications outlined in the quote.<\/p>\n

                    The quote may specify, in particular:<\/p>\n

                      \n
                    • the duration of the service;<\/li>\n
                    • the number of photographs;<\/li>\n
                    • the formats;<\/li>\n
                    • the duration of the videos;<\/li>\n
                    • the number of modifications;<\/li>\n
                    • the places;<\/li>\n
                    • the deliverables;<\/li>\n
                    • usage rights.<\/li>\n<\/ul>\n
                      \n

                      23. WEBSITES AND DIGITAL SERVICES<\/h2>\n

                      Website creation or development services are carried out according to the specifications and the accepted quote.<\/p>\n

                      The features, integrations, developments, licenses, hosting, maintenance and other services included are those expressly provided for in the quote.<\/p>\n

                      Any feature or modification not initially planned may be subject to additional charges.<\/p>\n

                      The Client remains responsible for the content, texts, images, logos, information and data that they provide for the site.<\/p>\n

                      \n

                      24. CLIENT-SUPPORTED CONTENT<\/h2>\n

                      The Client remains responsible for the content it provides to ProPixel, including:<\/p>\n

                        \n
                      • photographs;<\/li>\n
                      • logos;<\/li>\n
                      • texts;<\/li>\n
                      • illustrations;<\/li>\n
                      • videos;<\/li>\n
                      • brands;<\/li>\n
                      • graphic files;<\/li>\n
                      • police;<\/li>\n
                      • QR Codes;<\/li>\n
                      • commercial information.<\/li>\n<\/ul>\n

                        The Client guarantees that it has the necessary rights and authorizations to allow ProPixel to use this content within the framework of the project.<\/p>\n

                        ProPixel may refuse content whose use appears likely to infringe the rights of a third party or applicable legislation.<\/p>\n

                        \n

                        25. RIGHT TO ONE'S IMAGE<\/h2>\n

                        When the Client provides a photograph depicting an identifiable person, they guarantee, where necessary, that they have the authorization allowing its use within the project.<\/p>\n

                        When the Client provides a photograph of an employee, customer, partner or any other person, it is their responsibility to have the necessary permissions.<\/p>\n

                        ProPixel may refuse to use a photograph when it reasonably believes that its use could infringe on the rights of a third party.<\/p>\n

                        \n

                        26. ARTIFICIAL INTELLIGENCE-ASSISTED CREATIONS<\/h2>\n

                        Some projects can be carried out with the help of generative artificial intelligence technologies.<\/p>\n

                        AI can be used, in particular, to:<\/p>\n

                          \n
                        • generate or transform images;<\/li>\n
                        • create illustrations;<\/li>\n
                        • modify the scenery;<\/li>\n
                        • modify certain visual elements;<\/li>\n
                        • to create compositions;<\/li>\n
                        • to perform certain retouching operations;<\/li>\n
                        • adapting content to a medium.<\/li>\n<\/ul>\n

                          The generated results can be selected, retouched, composited or prepared by ProPixel before delivery.<\/p>\n

                          Due to the nature of generative technologies, the result may present some differences compared to the instructions or images initially provided.<\/p>\n

                          When regulations require information regarding the use of artificial intelligence, ProPixel provides this information according to the applicable terms.<\/p>\n

                          \n

                          27. INTELLECTUAL PROPERTY<\/h2>\n

                          The Client retains ownership of the rights he holds over the content he provides.<\/p>\n

                          The creations, concepts, mock-ups, illustrations, production files, source files, methods and elements developed by ProPixel remain protected by applicable intellectual property rights, unless expressly assigned or licensed.<\/p>\n

                          Payment for a service does not automatically entail the transfer of all intellectual property rights or the delivery of source files.<\/p>\n

                          When a transfer of rights is envisaged, its scope is determined in the quote or in a written agreement.<\/p>\n

                          \n

                          28. USE OF THIRD-PARTY TRADEMARKS AND ELEMENTS<\/h2>\n

                          When the Client requests the use of a trademark, logo, character, photograph, illustration or any other element belonging to a third party, he guarantees that he has the necessary authorizations when required.<\/p>\n

                          ProPixel may refuse to reproduce an element when there is a clear risk of infringing on the rights of a third party.<\/p>\n

                          Unless specifically licensed or authorized, ProPixel does not claim to provide products officially licensed by any brand, franchise, studio, artist, or other rights holder.<\/p>\n

                          \n

                          29. COMPLETION DEADLINES<\/h2>\n

                          The deadlines indicated in the quotes are estimates, unless a firm deadline is expressly agreed in writing.<\/p>\n

                          The delays may depend on several factors, including:<\/p>\n

                            \n
                          • Client validation;<\/li>\n
                          • of the payment of the deposit;<\/li>\n
                          • from the receipt of the files;<\/li>\n
                          • the availability of materials;<\/li>\n
                          • suppliers;<\/li>\n
                          • administrative authorizations;<\/li>\n
                          • conditions of access;<\/li>\n
                          • weather conditions for certain facilities;<\/li>\n
                          • modifications requested by the Client.<\/li>\n<\/ul>\n

                            When a delay results from an element attributable to the Client or from a circumstance independent of ProPixel's reasonable will, the deadline may be adjusted accordingly.<\/p>\n

                            \n

                            30. DELIVERY<\/h2>\n

                            When delivery is included in the quote, it is carried out according to the agreed terms.<\/p>\n

                            Delivery or transport costs are included only when expressly mentioned in the quote.<\/p>\n

                            When the Client requests a change of location or delivery arrangements after acceptance of the quote, any additional charges may apply.<\/p>\n

                            \n

                            31. ACCEPTANCE OF WORKS<\/h2>\n

                            At the end of the work, the Client is invited to check the apparent conformity of the service provided.<\/p>\n

                            Where applicable, the Client may sign a receipt document or confirm the proper completion of the work.<\/p>\n

                            The receipt or the absence of immediate reservation does not deprive the Client of the rights to which he is legally entitled in the event of a non-apparent defect or applicable contractual liability.<\/p>\n

                            \n

                            32. DEPOSIT<\/h2>\n

                            ProPixel may request a deposit before the start of a project.<\/p>\n

                            The amount of the deposit is indicated in the quote.<\/p>\n

                            The deposit can be used in particular to cover the costs of design, materials, manufacturing, subcontracting or project preparation.<\/p>\n

                            ProPixel may suspend the launch of the project until the deposit is actually received when this constitutes a condition of commencement stipulated in the quote.<\/p>\n

                            \n

                            33. BALANCE AND INVOICING<\/h2>\n

                            The balance of the project is payable according to the terms indicated in the quote or on the invoice.<\/p>\n

                            When several payment stages are planned, each of the due dates is indicated in the quote.<\/p>\n

                            Invoices are payable according to the deadline indicated on them.<\/p>\n

                            \n

                            34. LATE PAYMENT \u2013 BUSINESS CLIENTS<\/h2>\n

                            In the event of late payment of a business invoice, ProPixel may apply the late payment interest and compensation stipulated in the quote, contractual conditions or applicable legislation.<\/p>\n

                            Interest and compensation must remain proportionate and respect the legal limits applicable to business-to-business relationships.<\/p>\n

                            When the contract is subject to legislation relating to late payment in commercial transactions, the corresponding mandatory rules apply.<\/p>\n

                            \n

                            35. SUSPENSION OF WORK IN CASE OF NON-PAYMENT<\/h2>\n

                            In the event of an overdue and unpaid invoice, ProPixel may, after formal notice when required, suspend the execution of the remaining services or new orders until the situation is rectified.<\/p>\n

                            This suspension may result in a postponement of the initially planned deadline.<\/p>\n

                            However, ProPixel may not exercise this right in a manner contrary to applicable mandatory provisions or the Client's contractual rights.<\/p>\n

                            \n

                            36. CANCELLATION BY THE CUSTOMER<\/h2>\n

                            When a Client wishes to cancel a project after accepting the quote, they must inform ProPixel without delay.<\/p>\n

                            For customized or bespoke projects, ProPixel may have already incurred expenses or started certain services.<\/p>\n

                            The following may be affected:<\/p>\n

                              \n
                            • studies;<\/li>\n
                            • the models;<\/li>\n
                            • graphic design work;<\/li>\n
                            • orders for materials;<\/li>\n
                            • specific purchases;<\/li>\n
                            • subcontracting costs;<\/li>\n
                            • manufacturing has already begun;<\/li>\n
                            • transportation costs;<\/li>\n
                            • the work already completed.<\/li>\n<\/ul>\n

                              Amounts corresponding to services actually performed or expenses actually incurred may be due to the extent permitted by the contract and applicable legislation.<\/p>\n

                              \n

                              37. CANCELLATION AFTER PRODUCTION HAS STARTED<\/h2>\n

                              When a custom project has already started manufacturing, its cancellation can result in significant costs due to the specific nature of the materials and products being manufactured.<\/p>\n

                              ProPixel informs the Client of the financial consequences of the cancellation when these can be determined.<\/p>\n

                              The amounts claimed must correspond to the services performed, expenses incurred or damages that are contractually and legally justifiable.<\/p>\n

                              \n

                              38. CUSTOMER RESPONSIBILITY<\/h2>\n

                              The Client is specifically responsible for:<\/p>\n

                                \n
                              • the accuracy of the information provided;<\/li>\n
                              • transmitted files;<\/li>\n
                              • content provided;<\/li>\n
                              • necessary authorizations;<\/li>\n
                              • access to the intervention site;<\/li>\n
                              • of the condition of the support when it falls under his responsibility;<\/li>\n
                              • technical information of which he is aware;<\/li>\n
                              • compliance with its obligations concerning the building, vehicle or any other support.<\/li>\n<\/ul>\n

                                The Client must inform ProPixel of any information that may have an influence on the project.<\/p>\n

                                \n

                                39. PROPIXEL'S LIABILITY<\/h2>\n

                                ProPixel performs its services in accordance with the accepted quote and applicable legal obligations.<\/p>\n

                                ProPixel cannot be held responsible for consequences directly attributable to:<\/p>\n

                                  \n
                                • to erroneous information provided by the Client;<\/li>\n
                                • to files provided by the Client;<\/li>\n
                                • due to incorrect validation by the Client;<\/li>\n
                                • to a pre-existing defect in the support;<\/li>\n
                                • to an intervention carried out subsequently by a third party;<\/li>\n
                                • to improper use of the product or installation;<\/li>\n
                                • to a modification made by the Client or a third party;<\/li>\n
                                • to a circumstance external to the service provided by ProPixel.<\/li>\n<\/ul>\n

                                  Nothing in these Terms and Conditions shall have the effect of excluding or limiting any liability which cannot legally be excluded or limited.<\/p>\n

                                  \n

                                  40. MAINTENANCE AND USE<\/h2>\n

                                  The Customer must use and maintain the products, installations and media in accordance with the recommendations communicated by ProPixel where they exist.<\/p>\n

                                  Improper use, insufficient maintenance, unauthorized modification, or intervention by a third party may affect the operation or lifespan of the product.<\/p>\n

                                  \n

                                  41. GUARANTEES<\/h2>\n

                                  The guarantees applicable to the products and services are those provided by law and, where an additional commercial guarantee is offered, those indicated in the quote or in a separate document.<\/p>\n

                                  A possible commercial guarantee does not limit the Client's legal rights when a mandatory provision is applicable.<\/p>\n

                                  The specific warranty conditions may include, in particular:<\/p>\n

                                    \n
                                  • the duration of the warranty;<\/li>\n
                                  • the covered elements;<\/li>\n
                                  • exclusions;<\/li>\n
                                  • the terms of use;<\/li>\n
                                  • maintenance conditions;<\/li>\n
                                  • the procedures for coverage.<\/li>\n<\/ul>\n
                                    \n

                                    42. ELECTRICAL WORK AND EQUIPMENT<\/h2>\n

                                    When the project includes electrical equipment, this is supplied and installed in accordance with the specifications provided in the quote.<\/p>\n

                                    Additional electrical work not initially planned may be subject to a supplementary quote.<\/p>\n

                                    When the connection has to be made by an electrician or a third party, this service is only included if it is expressly provided for in the quote.<\/p>\n

                                    \n

                                    43. PROPIXEL INTELLECTUAL PROPERTY<\/h2>\n

                                    Unless otherwise stated, the concepts, mock-ups, graphic designs, source files, methods and design elements developed by ProPixel remain its intellectual property.<\/p>\n

                                    The Client may not reproduce, modify, resell or transmit to a third party the protected elements belonging to ProPixel beyond the rights expressly granted.<\/p>\n

                                    When the Client acquires specific usage rights, these are defined in the quote or in a written agreement.<\/p>\n

                                    \n

                                    44. CONFIDENTIALITY<\/h2>\n

                                    The parties agree to maintain the confidentiality of any confidential commercial or technical information disclosed within the framework of the project.<\/p>\n

                                    This obligation does not apply to the following information:<\/p>\n

                                      \n
                                    • already public;<\/li>\n
                                    • became public without violating any confidentiality obligation;<\/li>\n
                                    • the disclosure of which is required by law;<\/li>\n
                                    • or whose communication is necessary for the performance of the contract.<\/li>\n<\/ul>\n
                                      \n

                                      45. PORTFOLIO AND ACHIEVEMENTS<\/h2>\n

                                      ProPixel may present certain professional achievements in its portfolio, on its website or in its communication materials when this is compatible with the rights of the parties and any confidentiality obligations.<\/p>\n

                                      When a project contains an identifiable person, a photograph, or content requiring special permission, ProPixel obtains the necessary permission when required.<\/p>\n

                                      When a Client expressly requests confidentiality for a project, ProPixel takes this into account to the extent agreed between the parties.<\/p>\n

                                      \n

                                      46. \u200b\u200bSUBCONTRACTORS AND SUPPLIERS<\/h2>\n

                                      ProPixel may call upon manufacturers, printers, installers, transporters, technical service providers or other subcontractors necessary for the completion of the project.<\/p>\n

                                      Using these service providers does not change ProPixel's contractual obligations to the Client.<\/p>\n

                                      However, delivery times may be affected by the availability or difficulties encountered by suppliers or subcontractors.<\/p>\n

                                      \n

                                      47. FORCE MAJEURE<\/h2>\n

                                      ProPixel cannot be held responsible for any delay or inability to perform resulting from an event beyond its control and reasonably unforeseeable or unavoidable.<\/p>\n

                                      The following may be affected, depending on the circumstances:<\/p>\n

                                        \n
                                      • natural disasters;<\/li>\n
                                      • fires;<\/li>\n
                                      • major breakdowns;<\/li>\n
                                      • exceptional interruption of supply;<\/li>\n
                                      • unavailability of materials;<\/li>\n
                                      • major transport problems;<\/li>\n
                                      • administrative decisions;<\/li>\n
                                      • weather conditions preventing installation;<\/li>\n
                                      • major technical incidents;<\/li>\n
                                      • major cyber incidents;<\/li>\n
                                      • exceptional unavailability of a supplier or subcontractor.<\/li>\n<\/ul>\n

                                        ProPixel informs the Client as soon as possible when the event substantially affects the project.<\/p>\n

                                        \n

                                        48. DATA PROTECTION<\/h2>\n

                                        ProPixel processes personal data necessary for the execution of projects in accordance with the General Data Protection Regulation (GDPR) and applicable Belgian legislation.<\/p>\n

                                        The data can be used, in particular, for:<\/p>\n

                                          \n
                                        • respond to requests;<\/li>\n
                                        • prepare the quotes;<\/li>\n
                                        • manage projects;<\/li>\n
                                        • communicate with the Client;<\/li>\n
                                        • invoice for services;<\/li>\n
                                        • organize deliveries and installations;<\/li>\n
                                        • to provide after-sales service;<\/li>\n
                                        • to comply with legal obligations.<\/li>\n<\/ul>\n

                                          The detailed terms of data processing are specified in ProPixel's Privacy Policy<\/strong> .<\/p>\n

                                          \n

                                          49. CLAIMS<\/h2>\n

                                          Any complaint must be addressed to ProPixel as soon as possible after the problem is discovered.<\/p>\n

                                          Complaints can be sent to:<\/p>\n

                                          The Client is invited to communicate:<\/p>\n

                                            \n
                                          • the quote or invoice number;<\/li>\n
                                          • the project date;<\/li>\n
                                          • the description of the problem;<\/li>\n
                                          • photographs or useful documents.<\/li>\n<\/ul>\n

                                            ProPixel examines the complaint and, where justified, proposes an appropriate solution in accordance with the contract and applicable regulations.<\/p>\n

                                            \n

                                            50. TERMINATION OF CONTRACT<\/h2>\n

                                            In the event of a serious breach by one party of its contractual obligations, the other party may request the termination or cancellation of the contract in accordance with applicable legal rules.<\/p>\n

                                            Where possible, the party concerned is invited to give the other party formal notice to remedy the breach within a reasonable time before any termination.<\/p>\n

                                            The financial consequences of termination are determined in accordance with the contract and applicable legislation.<\/p>\n

                                            \n

                                            51. AMICABLE SETTLEMENT OF DISPUTES<\/h2>\n

                                            In the event of difficulty or dispute, the parties agree to seek an amicable solution as a priority.<\/p>\n

                                            The parties may also agree to resort to mediation or any other appropriate amicable settlement mechanism.<\/p>\n

                                            52. APPLICABLE LAW<\/h2>\n

                                            These Professional General Terms and Conditions are governed by Belgian law.<\/p>\n

                                            The mandatory provisions applicable to the contract in question remain fully applicable.<\/p>\n

                                            \n

                                            53. JURISDICTION<\/h2>\n

                                            In the event of a dispute that cannot be resolved amicably, the competent courts are determined in accordance with the applicable legal rules.<\/p>\n

                                            For business-to-business relationships, the parties may agree on a competent jurisdiction where legally permitted.<\/p>\n

                                            No clause in these General Terms and Conditions may have the effect of depriving a party of mandatory protection granted to it by law.<\/p>\n

                                            \n

                                            54. Unfair Terms<\/h2>\n

                                            These terms and conditions shall be interpreted in accordance with the applicable Belgian rules regarding unfair contractual terms between businesses.<\/p>\n

                                            No provision may have the object or effect of creating a manifest imbalance between the rights and obligations of the parties or of excluding a liability that cannot be legally excluded.<\/p>\n

                                            55. MODIFICATION OF GENERAL TERMS AND CONDITIONS<\/h2>\n

                                            ProPixel may modify these Terms and Conditions to take into account, in particular:<\/p>\n

                                              \n
                                            • of the evolution of its activities;<\/li>\n
                                            • of the evolution of its services;<\/li>\n
                                            • the evolution of its manufacturing methods;<\/li>\n
                                            • the evolution of its technical means;<\/li>\n
                                            • of regulatory developments.<\/li>\n<\/ul>\n

                                              The version applicable to a project is the one accepted at the time the contract was concluded.<\/p>\n

                                              Subsequent modifications do not apply retroactively to contracts already concluded.<\/p>\n

                                              \n

                                              56. PARTIAL NULLITY<\/h2>\n

                                              If any provision of these Terms and Conditions is declared void, invalid or unenforceable, the other provisions shall remain enforceable to the extent permitted by law.<\/p>\n

                                              The provision in question will, where legally possible, be interpreted or replaced in such a way as to preserve as much as possible its original economic and legal objective.<\/p>\n

                                              57. ENTIRE AGREEMENT<\/h2>\n

                                              The accepted quote, any special conditions and these General Terms and Conditions constitute all the contractual conditions applicable to the project, subject to the documents expressly incorporated into the contract.<\/p>\n

                                              In case of conflict, the specific conditions expressly accepted in the quote shall prevail over these General Terms and Conditions for the project concerned.<\/p>\n

                                              58. ENTRY INTO FORCE<\/h2>\n
